frontBrick Terms of Service. The terms governing use of frontBrick's GTM engineering, demand generation, and software services, plus the frontbrick.io website.

These Terms of Service ("Terms") govern your access to and use of the frontbrick.io website, along with any services, products, or deliverables provided by frontBrick LLC ("frontBrick," "we," "us," or "our"). By using our site or engaging our services, you agree to these Terms. If you do not agree, do not use the site or our services.

frontBrick LLC is a limited liability company organized under the laws of the State of Wyoming, United States.

1. Services

frontBrick provides go-to-market engineering and demand generation services, including but not limited to outbound campaign strategy and execution, account-based marketing, AI workflow implementation, data enrichment, and related consulting. We also operate software products, including frontBrick Rankz and Unbooth. Specific services, scope, and pricing for any engagement are defined in a separate written agreement, proposal, or statement of work ("SOW"). Where an SOW conflicts with these Terms, the SOW controls for that engagement.

2. Engagements and Payment

Fees, payment schedules, and billing terms are set out in your SOW or invoice. Unless stated otherwise, invoices are due within the period noted on the invoice. Late payments may pause active work and may accrue interest where permitted by law. Fees are non-refundable except where expressly stated in writing.

3. Client Responsibilities

You agree to provide timely access to accounts, assets, data, and approvals reasonably needed for us to perform. You are responsible for ensuring that any data, contact lists, or content you provide is lawfully obtained and that your use of our deliverables complies with applicable laws, including anti-spam, data protection, and advertising regulations in your jurisdiction. Delays or inaccuracies in what you provide may affect timelines and outcomes.

4. Third-Party Tools and Platforms

Our services often rely on third-party platforms and tools. Your use of those tools is subject to their own terms. We are not responsible for the availability, performance, pricing, or policy changes of any third-party platform, or for account suspensions, deliverability issues, or restrictions imposed by those providers.

5. No Guarantee of Results

Marketing and outbound outcomes depend on many factors outside our control, including your market, offer, pricing, sales process, and platform behavior. We apply professional skill and effort, but we do not guarantee specific results such as a number of leads, meetings, replies, rankings, revenue, or conversion rates. Any figures discussed are estimates, not commitments.

6. Intellectual Property

Upon full payment for a given deliverable, you receive ownership of, or a license to, the final deliverables produced specifically for you under that SOW. frontBrick retains all rights to its pre-existing materials, methods, frameworks, templates, tools, software, and know-how, including anything used to create your deliverables. Nothing in these Terms transfers ownership of the frontBrick brand, our software products, or our underlying systems.

7. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for purposes of the engagement. This obligation does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

8. Data and Privacy

Our handling of personal data is described in our Privacy Policy. You are responsible for having a lawful basis to share any personal data you provide to us and for meeting your own obligations to data subjects.

9. Disclaimers

Our website and services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site or services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, frontBrick will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our total liability arising out of or relating to any engagement will not exceed the fees you paid to us for the specific services giving rise to the claim in the three months before the claim arose.

11. Indemnification

You agree to indemnify and hold frontBrick harmless from claims, damages, and expenses arising out of the data or content you provide, your use of deliverables, or your breach of these Terms or applicable law.

12. Term and Termination

Either party may terminate an engagement as set out in the applicable SOW, or on reasonable written notice if no SOW term applies. You remain responsible for fees for work performed up to the effective date of termination. Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Wyoming, and the parties consent to that jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. The updated version takes effect when posted on frontbrick.io with a revised "Last updated" date. Continued use of the site or services after changes means you accept the revised Terms.
